This Product Addendum governs your use of the Redtail IMAGING product. The Terms are hereby incorporated by reference.  Redtail Imaging provides Users with the option to manage and archive documents from any location on any device that you have access to the internet (the “IMAGING Product”). The IMAGING Product saves records in accordance with requirements under Rule 17a-4 under the Exchange Act, whether the broker-dealer has elected the WORM alternative or the audit-trail alternative. For broker-dealers who use the WORM alternative, the electronic storage media provided as part of the IMAGING Product preserves the documents and files you provide in a non-rewriteable, non-erasable format. Similarly, if a broker-dealer has elected to use the audit trail alternative to record preservation, the IMAGING Product will maintain and preserve electronic records in a manner that permits the recreation of an original record if it is modified or deleted. Finally, for broker-dealers that continue to elect to use a third party who has access to and the ability to download information from the broker’s or dealer’s electronic storage media to an acceptable medium, we are available to serve as such third party and to file the appropriate undertakings with regulatory authorities with respect to such records.

Provision of IMAGING Product.
We shall make a subscription of the IMAGING Product available to you subject to the terms of this Product Addendum and the Terms. Your subscription is for your use only and cannot be shared or used by anyone else. We may suspend or terminate your access to the IMAGING Product immediately without any liability, upon notice to you, if in our sole judgment you have violated the terms of this addendum, the Terms, the Privacy Policy, or the DPA. We may also suspend or terminate your use of the IMAGING Product, or condition your continued use on additional terms communicated to you, in the event your continued use, in our sole judgment, poses an undue or disproportionate burden on the IMAGING Product, our systems, or our networks. We may modify the functionality of the IMAGING Product and its application programming interface at any time in our sole discretion. By purchasing the IMAGING Product you understand and acknowledge that your use of the IMAGING Product is subject to your own regulatory and compliance oversight and, potentially, the regulatory and compliance oversight and requirements of your Firm.

Storage Allocation.
The IMAGING Product shall include up to 200GB per User of secure storage. Additional fees of $20/month per 200GB of excess storage shall apply to excess storage utilized by Customer’s Users.

Service Performance.
Depending on factors such as your equipment, internet connection and Redtail’s efforts to maintain the performance and integrity of its Service, you may occasionally experience delays in uploading or syncing content on IMAGING Product.

Tracking and Analysis.
We may track and analyze your use of the IMAGING Product for the purpose of helping Us improve both the IMAGING Product and your experience in using the IMAGING Product. We may disclose such data about Your use of the IMAGING Product (“Usage Statistics”) to third parties for the purpose of assisting Us in such tracking and analysis, or as required by law; We will not disclose such Usage Statistics to third parties for any other purpose. Except when required by law, in disclosing Usage Statistics to a third party, We will make such Usage Statistics anonymous so as to not disclose your identity to such third party.
